1. What TradeAutoX is
TradeAutoX is a listing venue only — an online marketplace where licensed wholesale dealers list vehicles, browse inventory, and connect with other licensed dealers, including through live auctions. TradeAutoX is not a party to any transaction conducted through the platform, does not buy or sell vehicles, and never takes title to any vehicle.
2. Membership eligibility
Membership is open only to businesses holding a valid wholesale dealer license. By applying, you represent that your dealership holds such a license and that all information you provide is accurate. Licenses are verified at signup, and TradeAutoX may suspend or terminate any account found to be ineligible, or whose license lapses or is revoked. You must be at least 18 years old and authorized to bind your dealership to these Terms.
3. Your account
You are responsible for your account credentials and for all activity under your account. Keep your password confidential and notify us promptly of any unauthorized use. One membership covers one dealership; accounts may not be shared with or transferred to non-members or to the general public.
4. Membership fees and free trial
Membership is billed at $599 per month through our payment processor, Stripe. New memberships begin with a 30-day free trial: a payment method is collected at signup, no charge is made during the trial, and the first $599 charge occurs when the trial ends unless you cancel before that date. Memberships renew automatically each month until cancelled. You may cancel at any time through the billing portal; access continues through the end of the current paid period (or, during the trial, ends on cancellation). Fees already paid are non-refundable except at TradeAutoX's discretion, issued through our payment processor. We may change the membership price on at least 30 days' notice by email; the new price applies from your next renewal after the notice period.
5. No transaction processing, no escrow, no commission
TradeAutoX processes no vehicle transactions, holds no escrow, and takes no commission or cut of any sale. Buyers and sellers transact directly with each other, using whatever payment and title-transfer method they agree upon. TradeAutoX's sole revenue is the flat monthly membership fee.
6. All sales as-is, strictly between buyer and seller
All vehicles listed or auctioned on TradeAutoX are sold strictly between buyer and seller, as-is, where-is, with no warranties of any kind, express or implied. Any question about a vehicle's condition, history, title status, or fitness for any purpose is strictly between the buyer and the seller. Members are solely responsible for inspecting vehicles, verifying titles and information, and complying with the dealer laws of their own state before completing any transaction.
7. Listings and member conduct
You agree to: list only vehicles you own or are authorized to sell; describe vehicles accurately and completely, including known defects and title status; post only photos and documents you have the right to use; and use the platform only for lawful wholesale dealer-to-dealer activity. Fraud, misrepresentation, shill bidding (bidding on your own vehicles or coordinating bids to inflate prices), fee avoidance schemes, and retail sales to unlicensed buyers are prohibited. TradeAutoX may remove any listing or auction and suspend or terminate any account that violates these Terms, at its sole discretion.
8. Live auctions
TradeAutoX live auctions are a bidding tool between members; TradeAutoX is not an auctioneer of record and is not a party to any resulting sale.
Bids are binding. Placing a bid is a binding offer to buy the vehicle at your bid price if the seller accepts it. If a bid is placed in the final two minutes of an auction, the closing time extends by two minutes. Acceptance creates a binding agreement directly between the buyer and the seller on the terms of the listing and the accepted bid. The buyer must complete the purchase and the seller must complete the sale, on the timeline they agree between themselves. TradeAutoX does not guarantee payment or delivery and holds no funds. A member who fails to complete an accepted transaction may be suspended or terminated, and remains liable to the other member under their agreement.
9. Disputes
Any dispute arising from a transaction — including condition disputes, title disputes, payment disputes, or misunderstandings about a listing or auction — is strictly between the buyer and the seller. TradeAutoX is not a mediator, arbitrator, or party to such disputes.
10. Indemnification
You agree to indemnify and hold harmless TradeAutoX and its owners, operators, and partners from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the platform, your listings, your transactions with other members, or your violation of these Terms or of any law.
11. Disclaimer of liability
The platform is provided "as is" without warranties of any kind. To the fullest extent permitted by law, TradeAutoX disclaims all liability for listings, auctions, vehicle condition, vehicle history, title status, and any transaction between members. Members use the platform at their own risk and are solely responsible for inspecting vehicles and verifying all information before purchase. In no event will TradeAutoX's total liability to any member exceed the membership fees that member paid in the three months before the claim arose.
12. Termination
You may end your membership at any time by cancelling through the billing portal. TradeAutoX may suspend or terminate any account immediately for ineligibility, non-payment, fraud, or violation of these Terms. Sections that by their nature should survive termination — including Sections 5, 6, 9, 10, 11, and 14 — survive.
13. Electronic communications and records
By joining, you consent to receive communications from TradeAutoX electronically (including email notices about your account, billing, and auctions) and to enter into agreements electronically. Your acceptance of these Terms at signup is recorded with a timestamp and has the same effect as a handwritten signature.
14. Governing law and arbitration
These Terms are governed by the laws of the State of Georgia, without regard to its conflict-of-law rules. Any dispute between you and TradeAutoX arising out of these Terms or the platform will be resolved by binding arbitration administered in Georgia, and you and TradeAutoX each waive any right to a jury trial and to participate in a class action. Either party may instead bring an individual claim in a Georgia small claims court if it qualifies.
15. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced by email or on the site at least 15 days before they take effect. Continued use of the platform after the effective date is acceptance of the updated Terms.
